§ 1 Geltungsbereich und Vertragspartner

(1) Diese Allgemeinen Geschäftsbedingungen (nachfolgend „AGB“) gelten für alle Bestellungen, die über den Online-Shop activated-store.com abgeschlossen werden.

(2) Vertragspartner ist die ACTIVATED Network – Schrötter & Puschmann GbR (ehemals: Activated Records Kevin Schrötter & Nils Puschmann GbR), Starenweg 1, 89537 Giengen an der Brenz, Deutschland.

(3) Verbraucher im Sinne dieser AGB ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder ihrer gewerblichen noch ihrer selbstständigen beruflichen Tätigkeit zugerechnet werden können (§ 13 BGB).

(4) Unternehmer im Sinne dieser AGB ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbstständigen beruflichen Tätigkeit handelt (§ 14 BGB).

(5) Abweichende Bedingungen des Kunden werden nur anerkannt, wenn der Verkäufer diesen ausdrücklich schriftlich zugestimmt hat.

§ 2 Vertragsgegenstand

Der Online-Shop bietet folgende Produktkategorien an:

2.1 Physische Produkte

Kleidung, Accessoires und Gadgets.

2.2 Digitale Produkte

Sample Packs, Production Kits, Sound Libraries, digitale Assets und Musikdateien.

2.3 Dienstleistungen

a) Mixing
b) Mastering
c) Ghost Production

§ 3 Vertragsschluss

(1) Die Darstellung der Produkte im Online-Shop stellt kein rechtlich bindendes Angebot dar, sondern eine unverbindliche Aufforderung zur Bestellung (invitatio ad offerendum).

(2) Mit dem Klick auf „Zahlungspflichtig bestellen“ gibt der Kunde eine verbindliche Bestellung der im Warenkorb enthaltenen Waren bzw. Dienstleistungen ab.

(3) Die automatische Bestellbestätigung per E-Mail stellt noch keine Vertragsannahme dar.

(4) Der Vertrag kommt zustande:

Physische Produkte: mit Versand der Ware und Zusendung der Versandbestätigung.
Digitale Produkte: mit Bereitstellung des Download-Links per E-Mail.
Dienstleistungen: mit ausdrücklicher Auftragsannahme durch den Verkäufer.

§ 4 Mindestbestellwert

Der Mindestbestellwert beträgt 20,00 EUR. Dienstleistungen (Mixing, Mastering, Ghost Production) sind von dieser Regelung ausgenommen.

§ 5 Preise und Zahlungsbedingungen

(1) Alle angegebenen Preise sind Endpreise inklusive der gesetzlichen Mehrwertsteuer.

(2) Folgende Zahlungsarten stehen zur Verfügung:

Klarna
Kreditkarte
Sofortüberweisung

(3) Die Zahlung wird mit Vertragsschluss fällig.

§ 6 Lieferung physischer Produkte

6.1 Liefergebiet

Die Lieferung erfolgt innerhalb der Europäischen Union (EU).

6.2 Versanddienstleister

Der Versand erfolgt über DHL.

6.3 Lieferzeiten

Deutschland: 4–5 Werktage
EU: 8–10 Werktage

6.4 Versandkosten

Die Versandkosten werden transparent im Checkout-Prozess ausgewiesen.

6.5 Gefahrübergang

Die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung geht bei Verbrauchern mit Übergabe der Ware an den Verbraucher über.

§ 7 Digitale Produkte

Digitale Produkte werden nach Vertragsschluss per E-Mail als Download-Link bereitgestellt. Der Link ist zeitlich begrenzt gültig. Der Kunde erhält ein einfaches, nicht übertragbares Nutzungsrecht für den persönlichen Gebrauch. Die Weitergabe und der Weiterverkauf digitaler Produkte sind ausdrücklich untersagt.

§ 8 Dienstleistungen

8.1 Mixing und Mastering

Der Kunde stellt alle erforderlichen Stems sowie einen Rough-Mix bereit. Die Bearbeitungszeit beträgt in der Regel 4–5 Werktage. Revisionen sind im Standardpreis nicht enthalten.

8.2 Ghost Production

Ghost Productions sind individuelle Produktionen nach persönlichen Vorgaben des Kunden. Nach Bestellung erfolgt eine sofortige Kontaktaufnahme zur Abstimmung. Im Standardpreis sind zwei Revisionsrunden enthalten. Nach Abschluss und Lieferung gehen sämtliche Verwertungsrechte an den Kunden über.

§ 9 Widerrufsrecht

Es gelten die gesonderten Widerrufsbelehrungen. Zusammenfassung:

Physische Produkte: 14 Tage Widerrufsrecht ab Erhalt der Ware.
Digitale Produkte: Das Widerrufsrecht erlischt mit dem Abruf des Download-Links, sofern der Kunde zuvor ausdrücklich zugestimmt und Kenntnis vom Verlust des Widerrufsrechts erhalten hat.
Mixing & Mastering: Das Widerrufsrecht erlischt mit der Lieferung des fertigen Materials, sofern der Kunde vorab zugestimmt hat.
Ghost Production: Kein Widerrufsrecht gemäß § 312g Abs. 2 Nr. 1 BGB (individuell angefertigte Ware nach persönlichen Vorgaben).

§ 10 Gewährleistung

Es gelten die gesetzlichen Gewährleistungsrechte.

Physische Produkte: Gewährleistungsfrist von 2 Jahren für Verbraucher und 1 Jahr für Unternehmer ab Lieferung.
Digitale Produkte: Müssen bei Bereitstellung frei von Mängeln sein.
Dienstleistungen: Müssen fachgerecht ausgeführt werden.

§ 11 Haftungsbeschränkung

Der Verkäufer haftet unbeschränkt für:

Schäden an Leben, Körper und Gesundheit
Vorsätzliche und grob fahrlässige Pflichtverletzungen

Bei leichter Fahrlässigkeit haftet der Verkäufer nur bei Verletzung wesentlicher Vertragspflichten (Kardinalpflichten). Die Haftung ist in diesem Fall auf den vorhersehbaren, vertragstypischen Schaden begrenzt.

§ 12 Eigentumsvorbehalt

Die gelieferte Ware bleibt bis zur vollständigen Bezahlung Eigentum des Verkäufers.

§ 14 Online-Streitbeilegung

Die Europäische Kommission stellt eine Plattform zur Online-Streitbeilegung bereit: https://ec.europa.eu/consumers/odr/

Wir sind weder bereit noch verpflichtet, an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen.

§ 15 Schlussbestimmungen

(1) Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts (CISG).

(2) Zwingende Bestimmungen des EU-Verbraucherrechts bleiben unberührt.

(3) Gerichtsstand für alle Streitigkeiten mit Unternehmern ist Giengen an der Brenz.

(4) Sollten einzelne Bestimmungen dieser AGB unwirksam sein oder werden, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt. An die Stelle der unwirksamen Bestimmung tritt eine wirksame Regelung, die dem wirtschaftlichen Zweck der unwirksamen Bestimmung am nächsten kommt.

§ 1 Scope and Contracting Party

(1) These General Terms and Conditions (hereinafter “GTC”) apply to all orders placed through the online shop activated-store.com.

(2) The contracting party is ACTIVATED Network – Schrötter & Puschmann GbR (formerly: Activated Records Kevin Schrötter & Nils Puschmann GbR), Starenweg 1, 89537 Giengen an der Brenz, Germany.

(3) A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to their commercial nor their independent professional activity (§ 13 BGB – German Civil Code).

(4) An entrepreneur within the meaning of these GTC is a natural or legal person, or a partnership with legal capacity, acting in the exercise of their commercial or independent professional activity when concluding a legal transaction (§ 14 BGB).

(5) Deviating terms and conditions of the customer are only recognized if the seller has expressly agreed to them in writing.

§ 2 Subject of the Contract

The online shop offers the following product categories:

2.1 Physical Products

Clothing, accessories, and gadgets.

2.2 Digital Products

Sample packs, production kits, sound libraries, digital assets, and music files.

2.3 Services

a) Mixing
b) Mastering
c) Ghost Production

§ 3 Conclusion of Contract

(1) The presentation of products in the online shop does not constitute a legally binding offer, but rather a non-binding invitation to place an order (invitatio ad offerendum).

(2) By clicking “Place binding order” („Zahlungspflichtig bestellen“), the customer submits a binding order for the goods or services contained in the shopping cart.

(3) The automatic order confirmation by email does not yet constitute acceptance of the contract.

(4) The contract is concluded:

Physical products: upon dispatch of the goods and sending of the shipping confirmation.
Digital products: upon provision of the download link by email.
Services: upon express acceptance of the order by the seller.

§ 4 Minimum Order Value

The minimum order value is EUR 20.00. Services (mixing, mastering, ghost production) are exempt from this requirement.

§ 5 Prices and Payment Terms

(1) All prices shown are final prices including statutory value-added tax (VAT).

(2) The following payment methods are available:

Klarna
Credit card
Instant bank transfer (Sofortüberweisung)

(3) Payment is due upon conclusion of the contract.

§ 6 Delivery of Physical Products

6.1 Delivery Area

Delivery is available within the European Union (EU).

6.2 Shipping Carrier

Shipping is handled by DHL.

6.3 Delivery Times

Germany: 4–5 business days
EU: 8–10 business days

6.4 Shipping Costs

Shipping costs are displayed transparently during the checkout process.

6.5 Transfer of Risk

For consumers, the risk of accidental loss or deterioration of the goods passes to the consumer upon delivery of the goods.

§ 7 Digital Products

Digital products are delivered by email as a download link after conclusion of the contract. The link is valid for a limited time. The customer receives a simple, non-transferable right of use for personal use. Redistribution and resale of digital products are expressly prohibited.

§ 8 Services

8.1 Mixing and Mastering

The customer provides all required stems and a rough mix. The processing time is usually 4–5 business days. Revisions are not included in the standard price.

8.2 Ghost Production

Ghost productions are individual productions made according to the customer’s personal specifications. After ordering, immediate contact is made for coordination. Two rounds of revisions are included in the standard price. Upon completion and delivery, all exploitation rights are transferred to the customer.

§ 9 Right of Withdrawal

The separate cancellation policies apply. Summary:

Physical products: 14-day right of withdrawal from receipt of the goods.
Digital products: The right of withdrawal expires upon accessing the download link, provided the customer has expressly consented beforehand and acknowledged the loss of the right of withdrawal.
Mixing & Mastering: The right of withdrawal expires upon delivery of the finished material, provided the customer has consented in advance.
Ghost Production: No right of withdrawal pursuant to § 312g (2) No. 1 BGB (goods made to the customer’s personal specifications).

§ 10 Warranty

Statutory warranty rights apply.

Physical products: Warranty period of 2 years for consumers and 1 year for entrepreneurs from delivery.
Digital products: Must be free of defects at the time of provision.
Services: Must be performed professionally.

§ 11 Limitation of Liability

The seller is liable without limitation for:

Damages to life, body, and health
Intentional and grossly negligent breaches of duty

In cases of slight negligence, the seller is only liable for the breach of essential contractual obligations (cardinal obligations). Liability in such cases is limited to the foreseeable, contract-typical damage.

§ 12 Retention of Title

The delivered goods remain the property of the seller until full payment has been received.

§ 13 Data Protection

§ 14 Online Dispute Resolution

The European Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr/

We are neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board.

§ 15 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) Mandatory provisions of EU consumer law remain unaffected.

(3) The place of jurisdiction for all disputes with entrepreneurs is Giengen an der Brenz.

(4) Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
