SHOP TERMS

Conditions for purchases from activated-store.com.

§ 1 Scope and Contracting Party

(1) These General Terms and Conditions (hereinafter "GTC") apply to all orders placed by consumers or businesses through our online shop activated-store.com.

(2) The contracting party is:

(3) A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed.

(4) An entrepreneur within the meaning of these GTC is any natural or legal person or partnership with legal capacity that acts in the exercise of its commercial or self-employed professional activity when concluding a legal transaction.

(5) Different customer terms are not accepted unless we expressly agree to their application in writing.

§ 2 Subject Matter of the Contract

Our online shop offers the following product categories:

2.1 Physical Products

Clothing (merchandise), accessories, and gadgets from the ACTIVATED brand and our artists.

2.2 Digital Products

Sample packs, production kits, sound libraries, assets, and music files (songs) for download.

2.3 Services

a) Mixing: Professional mixing of your music production

b) Mastering: Professional final processing for release quality

c) Ghost Production: Creation of individual music productions according to your specifications

§ 3 Conclusion of Contract

(1) The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to submit an order (invitatio ad offerendum).

(2) By clicking the button "Place order with payment obligation" or a similar designation, you submit a binding order for the goods or services contained in the shopping cart.

(3) Confirmation of receipt of your order is sent immediately after submission by an automated email (order confirmation). This does not yet constitute acceptance of the contract.

(4) The contract is concluded:

  • For physical products: Upon shipment of the goods and sending of a shipping confirmation
  • For digital products: Upon sending of the download link by email
  • For services: Upon confirmation of order acceptance by email

§ 4 Minimum Order Value

The minimum order value is EUR 20.00. Orders below this value cannot be completed. Services are exempt from this regulation.

§ 5 Prices and Payment Terms

(1) All prices shown are final prices and include statutory VAT. Additional delivery and shipping costs are shown separately and are to be borne by the customer.

(2) The following payment methods are available: PayPal, Klarna (invoice, installment purchase), credit card (Visa, Mastercard, American Express), and instant bank transfer (Klarna Sofort).

(3) Payment is due upon conclusion of the contract. For payment by Klarna invoice or installment purchase, Klarna's payment terms apply.

§ 6 Delivery of Physical Products

6.1 Delivery Area

We currently deliver to all countries of the European Union (EU). Deliveries outside the EU are currently not possible.

6.2 Shipping Provider

Garments are produced to order by our production partner and shipped directly to you. The shipping confirmation identifies the carrier used.

6.3 Delivery Times

Under our current shipping policy, orders are dispatched within five business days of receipt at the latest. Transit time depends on the carrier and the delivery information provided before ordering.

Saturdays, Sundays, and public holidays are not considered business days. Deviating delivery times are indicated on the respective product page.

6.4 Shipping costs

Shipping costs are shown transparently in the cart and checkout before you place the order.

6.5 Transfer of risk

For consumers, the risk of accidental loss or deterioration passes upon delivery to you, subject to mandatory law.

§ 7 Digital Products

(1) After successful payment, you will receive an email with a download link for the purchased digital product.

(2) Any limits on access duration or number of downloads are specified in the offer before ordering. Statutory rights to supply and remedies for defects remain unaffected.

(3) With the purchase, you receive a simple, non-transferable right of use for private purposes or the purpose specified in the product description.

(4) Prohibited: Sharing, resale, making publicly available, or reproduction of the digital content unless expressly permitted.

§ 8 Services (Mixing, Mastering, Ghost Production)

8.1 Mixing and Mastering

(1) Each package covers one track. The services stated on the product page apply: Mastering Standard includes 1 revision, Mastering Pro 2 revisions; Mixing Standard covers up to 60 tracks with 2 revisions, Mixing Pro up to 100 tracks with basic editing and 3 revisions. Mix + Master combines the services and revision rounds of the selected Standard or Pro packages. Additional services are charged only by separate agreement.

(2) Nils Puschmann performs the work. You provide the audio files appropriate to the package, a rough mix and any references. A download link may be provided with the order or emailed with the order number to n.puschmann@activated-network.com. Stereo mastering requires the finished stereo mix; mixing and stem mastering require the relevant individual tracks.

(3) Processing starts after order acceptance, payment, receipt of all required files and the legally permitted start: Mastering Standard 2–5 business days, Mixing Standard 5–10 business days, Mixing Pro 7–14 business days. For Mastering Pro and Mix + Master, the schedule is agreed before acceptance after reviewing the material. Unless you expressly request an early start, work begins only after the 14-day withdrawal period.

(4) Delivery is digital by download link, without shipping charges for these services. The number of creative revision rounds does not limit statutory remedies for defects.

8.2 Ghost Production

(1) Ghost productions are individual music productions created according to your specifications. Standard packages and individual productions by arrangement are available.

(2) Immediate contact is required after purchase to discuss the details of the production (genre, style, reference tracks, special requests).

(3) Revisions: Up to 2 (two) revision rounds are included in the standard price. Further revisions can be ordered for an additional fee.

(4) Upon full payment and delivery, the customer receives the rights of use and related rights necessary for the agreed uses to the individually agreed extent, insofar as we are authorised to grant them. Non-transferable moral rights, third-party rights and mandatory statutory remuneration claims remain unaffected. Individual licence agreements take precedence.

§ 9 Right of Withdrawal

The right of withdrawal applies exclusively to consumers. A detailed cancellation policy with a model withdrawal form is provided separately.

9.1 Physical Products

You have the right to withdraw from the contract within 14 days without giving any reason. The withdrawal period is 14 days from the day on which you or a third party named by you took possession of the goods.

9.2 Digital Products

For a paid contract for digital content not supplied on a tangible medium, the right of withdrawal expires early only once performance has begun after your express consent to starting before the withdrawal period ends, your acknowledgement of the resulting loss of the right, and our provision of the confirmation required by section 312f BGB on a durable medium (section 356(6) BGB).

Merely clicking an ordinary download link does not replace separate express consent and acknowledgement.

9.3 Services - Mixing and Mastering

(1) For mixing and mastering services, you generally have a 14-day right of withdrawal.

(2) For paid services, the right of withdrawal expires early only upon complete performance if, before performance began, you expressly consented to performance within the withdrawal period and acknowledged that the right would be lost upon complete performance. For off-premises contracts, the consent must be provided on a durable medium (section 356(5) BGB).

(3) Sending a clear withdrawal declaration within the statutory period is sufficient. Delivery of a file alone does not extinguish the right of withdrawal.

9.4 Services - Ghost Production

Individually commissioned music production is not subject to a blanket exclusion of withdrawal. The rules for services apply to service obligations, and the rules for digital content apply to supplied digital content. The exception for tangible goods made to a consumer’s specifications does not apply to a purely digital music production merely because it is personalised.

§ 10 Warranty

(1) Statutory warranty rights apply.

(2) For physical products, the warranty period for consumers is 2 years from delivery. For entrepreneurs, the warranty period is 1 year.

(3) Digital products are subject to statutory requirements concerning conformity, supply, updates and remedies, including sections 327 et seq. BGB for consumer contracts.

(4) For services, we owe professional execution according to the state of the art. Artistic or creative results are subject to subjective evaluation; a defect only exists if the service objectively deviates from the agreement.

§ 11 Limitation of Liability

(1) We are liable without limitation for damages resulting from injury to life, body, or health, as well as for damages based on intent or gross negligence.

(2) For slight negligence, we are only liable in the event of a breach of essential contractual obligations (cardinal obligations), the fulfillment of which enables the proper execution of the contract in the first place. In these cases, liability is limited to the foreseeable, contract-typical damage.

(3) These liability limitations do not apply to fraudulent concealment of defects, guarantees assumed or claims under the German Product Liability Act.

§ 12 Retention of title

For physical goods, we retain title until the purchase price has been paid in full.

§ 14 Consumer dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

§ 15 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers with habitual residence in the EU, mandatory provisions of the law of the country of residence remain unaffected.

(2) If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes is Giengen an der Brenz, Germany.

(3) Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
